Terms of Service

1. Acceptance of Terms
By accessing or using the OddLabs website (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Service. These Terms constitute a legally binding agreement between you and OddLabs (“we”, “us”, “our”).
2. Description of Service
OddLabs is a founder-led innovation studio based in Nanaimo, British Columbia. The Service includes AI consulting, rapid prototyping, automation solutions, sensor fusion, operational decision support, project intake, proposal generation, client portal access, and related professional services.
3. Project Intake and Engagement
Submitting a project intake form or inquiry does not constitute a binding agreement or commitment to provide services. All engagements are subject to mutual agreement on scope, timeline, and pricing, as documented in a separate proposal or statement of work. Intake submissions are reviewed within 24 hours by the founder directly, and OddLabs reserves the right to decline engagements at its discretion.
4. Client Portal and Accounts
If you are provided access to the client portal, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate access for violations of these Terms.
5. Intellectual Property
Unless otherwise specified in a signed agreement, all intellectual property created during an engagement — including code, designs, documentation, and deliverables — is transferred to the client upon full payment of all invoiced amounts. OddLabs retains the right to use generalized methodologies, tools, and frameworks developed during the engagement that are not specific to the client confidential information.
Content on this website, including text, graphics, logos, and software, is the property of OddLabs and is protected by copyright and intellectual property laws.
6. Confidentiality
I treat all client information as confidential and do not disclose client details, project information, or proprietary data to third parties without consent, except as required by law or as necessary to provide the agreed services. Non-disclosure agreements are available upon request.
7. Payment Terms
Payment terms for services are specified in individual proposals and invoices. Unless otherwise agreed, invoices are due within 30 days of the invoice date. Deposits may be required for certain engagements as specified in the proposal. Late payments may incur interest charges at the maximum rate permitted by law.
8. Warranties and Disclaimers
I warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. Except as expressly stated, the Service is provided “as is” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. I do not guarantee specific business outcomes from consulting or development services.
9. Limitation of Liability
To the maximum extent permitted by law, OddLabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from or related to the Service or any engagement. OddLabs' total liability for any claim shall not exceed the amount paid by the client for the specific services giving rise to the claim.
10. Termination
Either party may terminate an engagement with written notice as specified in the applicable agreement. Upon termination, client pays for services rendered up to the termination date. Provisions regarding confidentiality, intellectual property, and liability survive termination.
11. Governing Law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of British Columbia.
12. Changes to Terms
We may update these Terms from time to time. We will notify users of material changes by posting the updated Terms on this page and updating the “Last updated” date. Continued use of the Service after changes constitutes acceptance of the updated Terms.
